Terms of Use

USER AGREEMENT

  1. The β€˜Ustore’ requires customers to register and create a personal account with/on the β€˜Ustore’, in order to gain full access to and use all the features and services provided by the β€˜Ustore’. For this purpose, the customer will be required to fill in and complete all the mandatory details required by the β€˜Ustore’ truthfully and accurately, in order to register as a β€˜Ustore’ customer/user. The β€˜Ustore’ may, at its sole discretion, de-register any customer/user if any information furnished by any registered customer/user is found to be false, untrue or incorrect.

  2. Any person who registers with/on the β€˜Ustore’, will have full access to the full range of products and prices offered on/through the β€˜Ustore’ and shall be eligible for promotion(s)/special offer(s) provided by the β€˜Ustore’. Any person who is not registered with/on the β€˜Ustore’, may view the products offered on the β€˜Ustore’, but will not be authorised or permitted to use the services offered to a duly registered customer of the β€˜Ustore’ or may have restricted access to a limited range of products offered on/through the β€˜Ustore’ or their prices, and will be ineligible for any promotion(s)/special offer(s) provided by the β€˜Ustore’.
  3. By registering with the β€˜Ustore’ and creating a personal account, the customer/user agrees and acknowledges that:
  • All information submitted by the customer/user, including any personal information, is true, accurate and up to date, and that the customer/user will be solely responsible and liable for the accuracy of any information submitted for registration and/or in the course of using the services and features of the β€˜Ustore’.
  • The customer/user is over the age of 18 years as at the date of registering with/on the β€˜Ustore’.
  • Any access to and use of the services and features of the β€˜Ustore’ by the customer/user will be subject to and in accordance with the laws and regulations applicable in Sri Lanka.
  1. The customer/user will be required to select a username and password in order to create a personal account and register on/with the β€˜Ustore’.
  2. Any user or customer shall not use the β€˜Ustore’ or any of the products available through the β€˜Ustore’ for any illegal or unlawful purpose.
  3. The customer/user accepts and acknowledges that protecting the security and confidentiality of the said username and password shall be the customer’s or user’s sole responsibility.
  4. Upon successful completion of registration and the creation of a personal account, the customer/user will receive either an e-mail or text (SMS) message from Unilever Sri Lanka Limited and/or the authorised administrator of the β€˜Ustore’, confirming that the customer/user has successfully registered with the β€˜Ustore’. The customer/user shall thereafter be authorised to access and use all of the applicable features and services provided by the β€˜Ustore’.
  5. The customer/user shall be responsible for reviewing and confirming any purchase prior to placing any order on the β€˜Ustore’.
  6. Neither the Distributor, nor Unilever Sri Lanka Limited , shall be liable for any losses or damages caused as a result of the customer’s/user’s failure to review a purchase prior to placing an order on the β€˜Ustore’, or for any errors made by the customer/user with regard to any aspect of the order at the time of placing the said order, including, but not limited to, the type of products, quantities of products, and delivery address.
  7. The acceptance and invoicing of all orders made on the β€˜Ustore’, and the delivery of the products and collecting of payments shall be undertaken solely and exclusively by the authorised Distributor assigned for that purpose by Unilever Sri Lanka Limited or Unilever Lipton Ceylon Limited .
  8. All authorised Distributors of Unilever Sri Lanka Limited and Unilever Lipton Ceylon Limited , who service orders placed on the β€˜Ustore’, will be listed/published on the β€˜Ustore’ website and routinely updated by Unilever Sri Lanka Limited or the authorised administrator. Unilever Sri Lanka Limited and Unilever Lipton Ceylon Limited shall not be responsible for the delivery of any orders by unauthorised distributors/persons or persons not listed as distributors on the β€˜Ustore’.
  9. A customer/user whose order has been duly accepted by an authorised Distributor via the β€˜Ustore’, is referred to herein as β€œthe Purchaser(s)”.
  10. Upon each order being duly accepted and invoiced by such authorised Distributor appointed to service the territory within which the order is placed, the Purchaser will be duly notified of the same through the β€˜Ustore’. Accordingly, the transaction that arises in servicing and fulfilling the said order will be exclusively by and between the said authorised Distributor and the Purchaser. Unilever Sri Lanka Limited or Unilever Lipton Ceylon Limited shall not be a party to any such transaction, agreement, contract, sale or purchase, by and between the Purchaser and such Distributor, resulting from any order placed via the β€˜Ustore’ with any Distributor.
  11. The Purchaser shall be given due notice through the β€˜Ustore’ as and when an order is accepted and invoiced by the Distributor. Upon acceptance by the Distributor of the order placed by the Purchaser, a contract for the sale of goods shall have been created as between such Purchaser and the Distributor. The Purchaser will not be permitted to cancel, alter, modify or vary any order made through the β€˜Ustore’ after the said order has been accepted and invoiced by the Distributor and notified to the Purchaser through the β€˜Ustore', unless expressly permitted by the β€˜Ustore’.
  12. The Distributor will use its best endeavors to deliver the products within forty eight (48) hours of the order (made through the β€˜Ustore’) being invoiced by the Distributor or such other period of time as may be expressly agreed to between the Distributor and the Purchaser. The Distributor undertakes to deliver the products on working days, except on Weekends, Public Holidays and Mercantile Holidays. The products will be delivered to the address registered under the customer’s/user’s personal account or any other location as expressly agreed to by and between the Distributor and the Purchaser. The Distributor shall not be liable for any loss or damage suffered by the Purchaser due to failure on the part of the Purchaser to accept delivery of an order at the Purchaser’s registered address or such other expressly agreed location..
  13. The Distributor shall have the discretion to accept or refuse to accept an order placed through the β€˜Ustore’, and the Distributor shall be entitled to refuse an order in the event that the Distributor does not possess adequate stocks or is unable to service the order for any other legitimate reason.
  14. The Purchaser acknowledges that the method of payment shall be cash on delivery or any other mutually agreed form of lawful payment, and agrees to pay the Distributor or his representative(s) the due price of the order (as invoiced) upon the delivery of the products at the registered address of the customer/user or at such other expressly agreed upon location between them.
  15. The delivery of the products will be accompanied with an Invoice by the Distributor. The Purchaser shall place his signature on the said Invoice when accepting or taking possession of the products, and retain the original copy and hand over the duplicate of the same to the Distributor or the Distributor’s authorised representative(s).
  16. The Purchaser is responsible for physical verification of the products delivered prior to accepting delivery of same, and the Purchaser shall not be entitled or permitted to reject or return the product(s) after delivery of the product(s) has been duly accepted.
  17. The Purchaser is entitled to reject any products or part of any products at the time of delivery, in the event that the products or their quantities do not correspond to the order, or if the products or their packaging/labelling is damaged and/or destroyed and/or defaced and/or if the goods are not in good/merchantable order or condition.
  18. Unilever Sri Lanka Limited and Unilever Lipton Ceylon Limited shall not be liable for the condition of the products delivered by the Distributor, and any liability of the Unilever Sri Lanka Limited or Unilever Lipton Ceylon Limited with regard to the condition of the products shall be limited/confined to liabilities imposed by law on manufacturers of such product(s).
  19. Unilever Sri Lanka Limited and Unilever Lipton Ceylon Limited shall not be liable, in any manner whatsoever, for any transaction between the Distributor and the customer(s) / user(s) or Purchaser(s), in respect of servicing orders made through the β€˜Ustore’. The servicing of orders made on/through the β€˜Ustore’, including accepting, invoicing, delivery of goods, payment and collection of payments, shall be the sole and exclusive duty, responsibility and liability of the Distributor, and all consequent transactions shall be regarded, at all times, as transactions between the Distributor and the customers/users and/or the Purchaser.
  20. Unilever Sri Lanka Limited shall not be responsible or liable for the acceptance, refusal, invoicing, delivery of products, payment or collection of proceeds, in respect of such orders or consequent transactions, or any loss or damage arising therefrom or in connection therewith.
  21. The liabilities of Unilever Sri Lanka Limited shall be limited to the following:
    • Proper maintenance of the β€˜Ustore’ and its web platform.
    • Unauthorised use or disclosure of any personal information or data submitted by any registered customer/user, for the purpose of registering with/on the β€˜Ustore’. However, the use of any such information/data by Unilever Sri Lanka Limited, Unilever Lipton Ceylon Limited and/or any designated Distributor, in order to communicate directly with the relevant customer/user and/or Purchaser, with regard to any matter, product or promotion pertaining to the β€˜Ustore’, shall not constitute unauthorized use or disclosure of such information or data.
    1. Provided however, that Unilever Sri Lanka Limited shall not be responsible or liable for any form of loss, damage, harm or injury whatsoever, caused to any registered customers/users and/or Purchaser(s) by the Unilever Sri Lanka Limited's or Unilever Lipton Ceylon Limited's inability, failure, refusal or omission to comply with any of the aforesaid obligations and/or undertakings, if any such inability, failure, refusal or omission is caused by or as a result of and/or is attributed to:
      • Telecommunication(s) or internet failure caused by any blocking, crashing, breakdown or stoppage experienced by the telecommunication or internet service providers for the β€˜Ustore’ website or platform or due to any action or omission of the Government of Sri Lanka or any Government or statutory agency, which causes the same;
      • Undue or prolonged absence of electricity/power from the National grid to the relevant area(s) in which the β€˜Ustore’, Unilever Sri Lanka Limited or Unilever Lipton Ceylon Limited server(s) or system(s) are located;
      • Any break-down or malfunction pertaining to the β€˜Ustore’ website or platform and/or its operation, which is not within the reasonable control of Unilever Sri Lanka Limited;
      • Due to any routine, necessary or urgent maintenance, modifications or updates of the β€˜Ustore’ or in respect of the the β€˜Ustore’, Unilever Sri Lanka Limited or Unilever Lipton Ceylon Limited server(s) or system(s) that are necessary to operate β€˜Ustore’.
      • Any other act, event, omission or failure that is not within the reasonable control or purview of the β€˜Ustore’, Unilever Sri Lanka Limited or Unilever Lipton Ceylon Limited and/or due any unforeseen act(s) or event(s).
      1. Unilever Sri Lanka Limited shall, subject to Clause 25 above, be responsible for the confidentiality of the data and information processed and/or acquired, stored and/or collated by or through the β€˜Ustore’, including personal information of registered customers/users. The Data Privacy Policy of Unilever Sri Lanka Limited (Click here to view the Data Privacy Policy of Unilever Sri Lanka Limited) shall be applicable in respect of all operations and functioning of the β€˜Ustore’.
      2. All proprietary rights of the products displayed, including all intellectual property rights thereto, and any other published content, on the β€˜Ustore’, are owned by and vested in Unilever Sri Lanka Limited.
      3. Any registered customer/user may de-register from the β€˜Ustore’ at any time.
      4. The β€˜Ustore’ and all its related components, as developed by Unilever Sri Lanka Limited, operate as a promotional platform for the products of Unilever Sri Lanka Limited and/or Unilever Lipton Ceylon Limited. The β€˜Ustore’ and all its related components do not constitute an independent or separate supply of products and services.

      By registering, subscribing to, logging on and/or using the features and services of the β€˜Ustore’, you hereby acknowledge that you have read, understood and agreed to the aforesaid Terms and Conditions of the β€˜Ustore’, and consent to the applicability of the Data Privacy Policy of Unilever Sri Lanka Limited , with regard to the collection and disclosure of data and information processed and acquired by or through the β€˜Ustore’.

      INTRODUCTION TO β€˜NVOY’

      1. β€˜NVOY’ is a Mobile Application provided by Unilever Sri Lanka Limited, through which Unilever Sri Lanka Limited seeks to provide a next generation Mobile Application for shopping by connecting customers directly with authorised Distributors of Unilever Sri Lanka Limited and/or Unilever Lipton Ceylon Limited [β€œthe Distributor(s)”]. Through β€˜NVOY’, customers will have the opportunity of viewing a wide range of personal care products offered by Unilever Sri Lanka Limited and Unilever Lipton Ceylon Limited, and their respective prices and special offers, including promotional and discounted rates, through the ease of mobile devices. β€˜NVOY’ is committed to giving customers a convenient, comprehensive and user-friendly shopping solution for purchasing products of Unilever Sri Lanka Limited and Unilever Lipton Ceylon Limited directly from their authorised Distributors.
        NVOY – TERMS AND CONDITIONS
      2. The β€˜NVOY’ mobile application is compatible only with devices running iOS and Android Operating Systems (OS) 7.0 (Nougat) or higher.
      3. β€˜NVOY’ requires customers to register and create a personal account with/on β€˜NVOY’, in order to gain full access to and use all the features and services provided by β€˜NVOY’. For this purpose, the customer will be required to fill in and complete all the mandatory details/fields of information required by the application, truthfully and accurately, in order to register as a β€˜NVOY’ customer/user. β€˜NVOY’s authorised administrator may, at its sole discretion, de-register any customer/user if any information furnished by any registered customer/user is found to be false, untrue or incorrect.
      4. Any person who registers with/on β€˜NVOY’, will have full access to the full range of products and prices offered on/through β€˜NVOY’ and shall be eligible for promotion(s)/special offer(s) provided by β€˜NVOY’. Any person who is not registered with/on β€˜NVOY’, may view the products offered on β€˜NVOY’, but will not be eligible, authorised or permitted to use the services offered to a duly registered customer of β€˜NVOY’ or may have restricted access to a limited range of products offered on/through β€˜NVOY’ or their prices, and will be ineligible for any promotion(s)/special offer(s) provided by β€˜NVOY’.
      5. By registering with the β€˜NVOY’ mobile application and creating a personal account, the customer/user agrees and acknowledges that: a. All information submitted by the customer/user, including any personal information, is true, accurate and up to date, and that the customer/user will be solely responsible and liable for the accuracy of any information submitted for registration and/or in the course of using the services and features of β€˜NVOY’; b. The customer/user is over the age of 18 years as at the date of registering with/on β€˜NVOY’ and has the legal capacity to contract with any person; c. Any access to and use of the services and features of β€˜NVOY’ by the customer/user will be subject to and in accordance with the laws and regulations applicable in Sri Lanka.
      6. The customer/user will be required to select a username and password in order to create a personal account and register on/with β€˜NVOY’.
      7. Any user or customer shall not use β€˜NVOY’ or any of the products available through β€˜NVOY’ for any illegal or unlawful purpose.
      8. The customer/user accepts and acknowledges that protecting the security and confidentiality of the said username and password shall be the customer’s or user’s sole responsibility.
      9. Neither the Distributor, nor Unilever Sri Lanka Limited, shall be liable for any losses or damages caused as a result of the customer’s/user’s failure to review a purchase prior to placing an order on β€˜NVOY’, or for any errors made by the customer/user with regard to any aspect of the order at the time of placing the said order, including, but not limited to, the type of products, quantities of products, and delivery address.

All authorised Distributors of Unilever Sri Lanka Limited and Unilever Lipton Ceylon Limited, who service orders placed on β€˜NVOY’, will be listed/published on the β€˜NVOY’ mobile application and routinely updated by Unilever Sri Lanka Limited or the authorised administrator. Unilever Sri Lanka Limited and Unilever Lipton Ceylon Limited shall not be responsible for the delivery of any orders by unauthorised distributors/persons or persons not listed as distributors on the β€˜NVOY’ mobile application.
      14. A customer/user whose order has been duly accepted by an authorised Distributor via β€˜NVOY’, is referred to herein as β€œthe Purchaser(s)”, which term of reference is limited in its application and interpretation solely to the terms and conditions herein.
      15. Upon each order being duly accepted and invoiced by such authorised Distributor appointed to service the territory within which the order is placed, the Purchaser will be duly notified of the same through β€˜NVOY’ together with the name and contact details of the said Distributor. Accordingly, the transaction that arises in servicing and fulfilling the said order will be exclusively by and between the said authorised Distributor and the Purchaser. Unilever Sri Lanka Limited or Unilever Lipton Ceylon Limited shall not be a party to any such transaction, agreement, contract, sale or purchase, by and between the Purchaser and such Distributor, resulting from any order placed via β€˜NVOY’ with any Distributor.
      16. The Purchaser shall be given due notice through β€˜NVOY’ as and when an order is accepted and invoiced by the Distributor. Upon acceptance by the Distributor of the order placed by the Purchaser, a contract for the sale of goods shall have been created as between such Purchaser and the Distributor. The Purchaser will not be permitted to cancel, alter, modify or vary any order made through β€˜NVOY’ after the said order has been accepted and invoiced by the Distributor and notified to the Purchaser through β€˜NVOY', unless expressly permitted by β€˜NVOY’.
      17. The Distributor will use its best endeavours and shall be liable to deliver the products within a specified time period, if a time period for delivery is expressly specified by the Distributor, or has been agreed to by and between the Distributor and the Purchaser at the time any particular order is placed and accepted. The Distributor shall undertake the responsibility of delivering the products during regular working hours on working days, except on Sundays, Public Holidays and Mercantile Holidays. β€˜NVOY’ shall notify the Purchaser upon the product ordered by the Purchaser being dispatched for delivery by the relevant Distributor to the Purchaser, and of the estimated date of such delivery.
      18. The products will be delivered to the address registered under the customer’s/user’s personal account or any other location as expressly agreed to by and between the Distributor and the Purchaser. The Distributor shall not be liable for any loss or damage suffered by the Purchaser due to failure on the part of the Purchaser to accept delivery of an order at the Purchaser’s registered address or such other expressly agreed location.
      19. The Distributor shall have the discretion to accept or refuse to accept an order placed through β€˜NVOY’, and the Distributor shall be entitled to refuse an order in the event that the Distributor does not possess adequate stocks or is unable to service the order for any other legitimate reason.
      20. The Purchaser acknowledges that the method of payment shall be cash on delivery or any other mutually agreed form of lawful payment, and agrees to pay the Distributor or his representative(s) the due price of the order (as invoiced) upon the delivery of the products at the registered address of the customer/user or at such other expressly agreed upon location between them.
      21. The delivery of the products will be accompanied with an Invoice issued by the Distributor. The Purchaser shall place his signature on the said Invoice when accepting or taking possession of the products, and retain the original copy and hand over the duplicate(s) of the same to the Distributor or the Distributor’s authorised representative(s). Ownership and possession of the invoiced product shall pass to the Purchaser upon the Purchaser making due payment therefor. Until such time, ownership and possession of the product shall remain with the relevant Distributor.
      22. The Purchaser is responsible for physical verification of the products delivered prior to accepting delivery of same, and the Purchaser shall not be entitled or permitted to reject or return the product(s) after delivery of the product(s) has been duly accepted.
      23. The Purchaser is entitled to reject any products or part of any products at the time of delivery, in the event that the products or their quantities do not correspond to the order, or if the products or their packaging/labelling are damaged and/or destroyed and/or defaced and/or if the goods are not in good/merchantable order or condition, or if there is an unreasonable and undue delay in delivering any product to a Purchaser in contravention of the provisions in clause 16 above. However, where any such delay is due or attributable to circumstances beyond the reasonable control of the Distributor or is not due to any lapse or fault on the part of the Distributor, the Purchaser shall not be entitled to reject any such product and shall be liable to pay for the same, unless the Purchaser has notified the relevant Distributor of its intention to reject the product, at any time prior to the Distributor having dispatched the same for delivery to the Purchaser.
      24. Unilever Sri Lanka Limited and Unilever Lipton Ceylon Limited shall not be liable for the condition of the products delivered by the Distributor, and any liability of Unilever Sri Lanka Limited or Unilever Lipton Ceylon Limited with regard to the condition of the products shall be limited/confined to liabilities imposed by law on manufacturers of such product(s).
      25. Unilever Sri Lanka Limited and Unilever Lipton Ceylon Limited shall not be liable, in any manner whatsoever, for any transaction between the Distributor and the customer(s) / user(s) or Purchaser(s), in respect of servicing orders made through β€˜NVOY’. The servicing of orders made on/through the β€˜NVOY’ mobile application, including accepting, invoicing, delivery of goods, payment and collection of payments, shall be the sole and exclusive duty, responsibility and liability of the Distributor, and all consequent transactions shall be regarded, at all times, as transactions between the Distributor and the customers/users and/or the Purchaser.
      26. Unilever Sri Lanka Limited shall not be responsible or liable for the acceptance, refusal, invoicing, delivery of products, payment or collection of proceeds, in respect of such orders made via the β€˜NVOY’ mobile application or consequent transactions, or any loss or damage arising therefrom or in connection therewith.
      27. The liabilities of Unilever Sri Lanka Limited shall be limited to the following: a. Proper maintenance of β€˜NVOY’ mobile application and its related components. b. Unauthorised use or disclosure of any personal information or data submitted by any registered customer/user, for the purpose of registering with/on β€˜NVOY’. However, the use of any such information/data by Unilever Sri Lanka Limited, Unilever Lipton Ceylon Limited and/or any designated Distributor, in order to communicate directly with the relevant customer/user and/or Purchaser, with regard to any matter, product or promotion pertaining to β€˜NVOY’, shall not constitute unauthorised use or disclosure of such information or data. Provided however, that Unilever Sri Lanka Limited shall not be responsible or liable for any form of loss, damage, harm or injury whatsoever, caused to any registered customers/users and/or Purchaser(s) by Unilever Sri Lanka Limited's or Unilever Lipton Ceylon Limited's inability, failure, refusal or omission to comply with any of the aforesaid obligations and/or undertakings, if any such inability, failure, refusal or omission is caused by or as a result of and/or is attributed to: a. Any significant failure/breakdown of the β€˜NVOY’ mobile application, Unilever Sri Lanka Limited or Unilever Lipton Ceylon Limited server(s) or system(s), caused by or as a result of any accident, natural disaster, virus, malware infection, breach of cyber security or illegal hacking; b. Telecommunication(s) or internet failure caused by any blocking, crashing, breakdown or stoppage experienced by the telecommunication or internet service providers for the β€˜NVOY’ mobile application or due to any action or omission of the Government of Sri Lanka or any Government or statutory agency, which causes the same; c. Undue or prolonged absence of electricity/power from the National grid to the relevant area(s) in which the server(s) or system(s) of Unilever Sri Lanka Limited or Unilever Lipton Ceylon Limited are located; d. Any break-down or malfunction pertaining to the β€˜NVOY’ mobile application and its related components and/or its operation, which is not within the reasonable control of Unilever Sri Lanka Limited; e. Due to any routine, necessary or urgent maintenance, modifications or updates of the β€˜NVOY’ mobile application or in respect of the β€˜NVOY’, Unilever Sri Lanka Limited or Unilever Lipton Ceylon Limited server(s) or system(s) that are necessary to operate the β€˜NVOY’ mobile application. f. Any other act, event, omission or failure that is not within the reasonable control or purview of β€˜NVOY’, Unilever Sri Lanka Limited or Unilever Lipton Ceylon Limited and/or due any unforeseen act(s) or event(s).
      28. Unilever Sri Lanka Limited shall, subject to Clause 25 above, be responsible for the confidentiality of the data and information processed and/or acquired, stored and/or collated by or through the β€˜NVOY’ mobile application, including personal information of registered customers/users. The Data Privacy Policy of Unilever Sri Lanka Limited (Click here to view the Data Privacy Policy of Unilever Sri Lanka Limited) shall be applicable in respect of all operations and functioning of β€˜NVOY’.

The β€˜NVOY’ mobile application and all its related components, as developed by Unilever Sri Lanka Limited, operate as a promotional platform for the products of Unilever Sri Lanka Limited and/or Unilever Lipton Ceylon Limited. β€˜NVOY’ and all its related components do not constitute an independent or separate supply of products and services.
      32.
